• “Platform” refers to KitaKreativ, including its website, systems, services, infrastructure, and related operational components.
• “Seller” refers to any individual or legally registered business entity that registers a seller account on KitaKreativ and lists products for sale.
• “Buyer” refers to any individual or entity that purchases products through the Platform.
• “Commission” refers to the service fee charged by the Platform for facilitating transactions between Buyers and Sellers.
• “Net Earnings” refers to the Seller’s earnings after deduction of applicable commissions, adjustments, refunds, reversals, fees, penalties, and other applicable charges.
• “Completed Order” refers to an order that has been successfully paid for, fulfilled, and is no longer subject to refund, dispute, chargeback, or investigation, as determined by the Platform.
• “Payout” refers to the transfer of Net Earnings from the Platform to the Seller.

• KitaKreativ operates solely as an online marketplace platform that facilitates transactions between independent Sellers and Buyers.
• KitaKreativ:
  • Is not the legal seller, manufacturer, distributor, importer, or owner of listed products
  • Does not take ownership or possession of Seller products
  • Is not a party to the sales contract between Seller and Buyer
  • Does not act as agent, fiduciary, trustee, or representative of Sellers or Buyers
• All sales contracts are formed directly between the Seller and the Buyer.
• KitaKreativ’s role is limited to providing marketplace infrastructure, transaction facilitation, and payment coordination.
• KitaKreativ does not guarantee Seller income, sales volume, profitability, or payout timelines.

• 3.1 Standard Commission Rate:
  • KitaKreativ currently charges a standard commission fee of 15% of the Final Transaction Amount.
  • The Final Transaction Amount includes:
    • Product price
    • Seller-defined add-ons (gift wrapping, customization, packaging upgrades, etc.)
    • Seller-defined service charges
    • Less any Seller-applied discounts or promotions
  • Commission is NOT charged on shipping fees, unless otherwise explicitly stated.
  • KitaKreativ reserves the right to modify commission rates upon notice to Sellers.
• 3.2 Nature of Commission:
  • Commission represents payment for services provided by the Platform, including but not limited to:
    • Marketplace infrastructure
    • Hosting and system maintenance
    • Transaction processing coordination
    • Seller dashboard and management tools
    • Fraud monitoring and risk management
    • Platform support services
    • Marketing and promotional activities
    • Operational and administrative costs
  • Commission is earned by the Platform upon successful facilitation of a transaction.
• 3.3 Taxes on Commission:
  • Commission fees are exclusive of any applicable:
    • Service taxes
    • Goods and Services Tax (GST), if applicable
    • Sales and Service Tax (SST), if applicable
    • Withholding taxes or other legally required taxes
  • Such taxes may be added where required by law.

• Commission is deducted from the Seller’s earnings only after the order is considered eligible for payout.
• KitaKreativ reserves the right to:
  • Adjust commission calculations in cases of refunds, partial refunds, disputes, or chargebacks
  • Reverse Seller earnings where transactions are invalidated
  • Offset losses, fees, penalties, or liabilities against Seller balances
  • Recover outstanding amounts from future payouts
• Commission may remain payable even in cases of dispute, fraud investigation, or policy violation.

• Payment gateway, transaction processing, and standard platform operational processing fees are absorbed within the 15% commission under normal circumstances.
• However, KitaKreativ reserves the right to impose additional fees where applicable, including but not limited to:
  • Cross-border transfers
  • Manual payout handling
  • Compliance-related costs
  • Banking or administrative costs
• Such fees may be deducted from Seller balances.
• KitaKreativ reserves the right to impose additional charges or restrict payout methods based on operational, regulatory, or risk considerations.

• KitaKreativ reserves the right to place temporary holds, reserves, or restrictions on Seller funds where reasonably necessary, including but not limited to:
  • Pending disputes or refund requests
  • Chargeback risk
  • Fraud risk or investigation
  • Suspicious activity
  • Policy violations
  • Compliance reviews
  • New seller risk reviews
  • HIgh return risks
  • Account verification requirements
  • Legal or regulatory requirements
• Funds may be held for a reasonable period determined at the Platform’s discretion.
• The Platform is not obligated to release funds while the investigation or review is ongoing.

• To receive payouts, Sellers must:
  • Maintain an active and compliant Seller account
  • Complete identity verification (KYC), if requested
  • Provide accurate and verifiable payout information
  • Comply with all Platform policies
  • Have no unresolved disputes or violations
• Failure to meet requirements may result in payout delay, suspension, or cancellation.

• Payouts are typically processed on a monthly basis between the 8th and 15th of each calendar month. However, payout timing is not guaranteed.
• Payouts may be delayed due to:
  • Public holidays
  • Banking delays
  • System maintenance
  • Fraud review
  • Compliance review
  • Operational requirements
  • Force majeure events
• Payout dates are not guaranteed and may vary based on operational requirements. The Platform shall not be liable for any payout delays.

• A minimum payout threshold of RM100 applies.
• Balances below RM100 will be carried forward.
• The Platform reserves the right to modify payout thresholds at any time.

• To be eligible for payout or withdrawal, Sellers must complete all required account verification processes, which may include:
  • Valid personal or business identification documents.
  • Verified Malaysian local bank account details under the Seller’s own name or the Seller’s business name.
  • Bank statement or official bank document for account verification.
  • Third-party bank accounts are not permitted.
• KitaKreativ reserves the right to:
  • Request additional documentation for verification purposes.
  • Reject or suspend payouts if verification requirements are not met.
  • Delay payouts for compliance, security, or regulatory review.

• Sellers are solely responsible for ensuring payout information accuracy, including:
  • Account holder name
  • Bank account number
  • Bank name
  • Supporting verification documents
• If payout failure occurs due to the Seller’s error:
  • All resulting fees are borne by the Seller
  • The Platform is not responsible for financial loss
  • Reprocessing fees may apply.

• The Platform currently supports the payout method of:
  • Malaysian local bank accounts under the Seller’s own name or registered business name.
• Unsupported payout destinations may be rejected, including:
  • Third-party accounts
  • Anonymous accounts
  • Unverified accounts
• The Platform reserves full discretion to approve or reject payout methods.

• All transactions on KitaKreativ are conducted exclusively in Malaysian Ringgit (RM).
• The Platform does not currently support transactions in other currencies.
• The Platform is not responsible for currency conversion losses, bank fees, or exchange rate fluctuations.

• KitaKreativ reserves the right to:
  • Suspend accounts
  • Withhold payouts
  • Reverse transactions
  • Confiscate funds
  • Offset losses
  • Permanently terminate accounts
• In cases the Seller(s) involving:
  • Fraud
  • Chargebacks
  • Abuse of platform systems
  • Manipulation of transactions
  • Policy violations
  • Illegal activity
• These actions may be taken without prior notice and shall be deemed final.

• If a chargeback, payment reversal, or dispute occurs, the Seller is financially responsible.
• The Platform may recover losses through:
  • Balance deduction
  • Future payout offsets
  • Account suspension
  • Legal recovery methods
• The Seller remains liable even after account closure.

• If the Seller account balance becomes negative, the Seller agrees to repay the outstanding amount.
• KitaKreativ reserves the right to:
  • deduct from future payouts
  • charge payment method on file
  • pursue recovery if necessary.
• The Seller remains liable even after account closure.

• Sellers shall not directly or indirectly solicit Buyers introduced through the Platform to complete transactions outside the Platform.
• If circumvention is detected, KitaKreativ reserves the right to:
  • Charge the applicable commission fee as if the transaction occurred on the Platform
  • Suspend or terminate the Seller account
  • Withhold payouts
  • Recover damages or lost commission.

• Sellers are solely responsible for:
  • Tax reporting
  • Tax filing
  • Tax payments
  • Legal compliance with tax authorities
• The Platform does not provide tax advice.
• The Platform may report Seller earnings if required by law.

• If a Seller account is suspended or terminated, the Platform reserves the right to:
  • Withhold payouts during investigation
  • Recover financial losses
  • Offset liabilities
  • Delay payouts for risk mitigation
• Release of funds is subject to Platform approval.

• If a seller has any unresolved disputes or pending refund/return cases during the scheduled payout period (between the 8th and 15th of each month), the seller’s payout for that period will be deferred to the next payout cycle.
• Sellers are responsible for resolving disputes promptly and cooperating with the platform’s mediation process to avoid repeated deferrals.

• To the maximum extent permitted by law, KitaKreativ shall not be liable for:
  • Loss of income
  • Loss of profits
  • Indirect damages
  • Consequential damages
  • Banking delays
  • Third-party payment failures
• The Platform provides services on an “as-is” basis.

• In case of conflict, KitaKreativ reserves the right to interpret and enforce policies at its discretion.

• Seller Discount: – RM 5
• Final Transaction Amount: RM 105 (100 + 10 – 5)
• Platform Commission (15%): RM 105 × 15% = RM 15.75
• Seller Earnings (Final): RM 105 – RM 15.75 = RM 89.25
